  • Drafting and negotiating all the corporate documents required for SEC reporting, such as forms: 3; 4; 8-K; 10-K; 10-Q; 163/433 free writing prospectus; 424(b)(2) prospectus; DEF 14A; DEFA14A; S-3ASR; S-8; S-8 POS; SC 13G/A; SD; PX14A6G; PX14A6N.

  • Use and working knowledge of numerous analysis tools, best practices, business principles, calculation tools, guidelines, industry trade associations, legal methodologies, publications, recommendations, reference materials and social principles, to support the narrative provided in the annual corporate ESG report, and which, if applicable to the company’s operations and if included prominently in the narrative of the annual corporate ESG report in the proper context (assuming of course that based on the location and operations of the company, any such reference and accompanying contextual explanation included in the narrative has an appropriate, rational basis for being included, and is not just being thrown in gratuitously in the hope of boosting the final ESG rating of the company), may serve to increase the final ESG rating awarded by the ESG rating entity to the company, similar to the way search engine optimization (SEO) works to increase search hits on an internet web page, when certain phrases and words are added on the internet web page, which may be more-recognizable to the internet search engines, such as: activist ownership; activity-based costing (ABC); activity metrics; asset-based community development (ABCD); biodiversity action plan (BAP); blue bond; bottom-up approach (BUA); business model innovation and resilience; cap and trade; carbon credits, financing, offsets and pricing; certified B corporation; certified benefit corporation; International Energy Agency (IEA) International Petroleum Industry Environmental Conservation Association (IPIECA) for Greenhouse Gas (GHG) Emissions; life cycle assessment; Positive Impact InitiativeUN Environment Program Finance Initiative (UNEP-FI).

  • Legal support for all activities after issuance of the final ESG rating from the ESG rating entity, to obtain ESG-supportive capital for the company from ESG-supportive lenders, such as: drafting and negotiation of all required lending documents; governmental filings; listings on ESG-supportive stock exchanges; and the like.
