  • Family office practice for high-net-worth-individuals and multi-generational family trusts and estates regarding their personal and private domestic and international wealth management transactions and charitable foundations.

 

  • Consultation regarding the legal aspects of business valuation and succession planning, disputed tax and valuation issues, estate and gift planning, grants and not-for-profit organizations, probate and trust litigation, trust and estate administration.

 

  • Drafting and negotiation of non-recourse and limited-recourse loan documents for project finance transactions involving development, infrastructure, power, transportation and build, operate and transfer (BOT) situations.

 

  • Drafting and negotiation of estate planning documents, preparing and filing petitions and related papers in Surrogate's Court, research on estate tax, fiduciary income tax, estate and trust administration issues.

 

  • Compliance with the USCIS EB-5 Immigrant Investor Program requirements and implementation.

 

  • Legal support for accountants and paralegals and accountants on estate and trust administration, reviewing fiduciary income tax returns and settling informal accountings.

 

  • Legal support for investment management firms and related service companies, including drafting carry plans and other employee incentive arrangements.

 

  • Legal support for business development companies, distressed funds, exchange-traded funds, funds of funds, open-end and closed-end funds, private equity funds, real estate funds, secondary funds.

 

  • Experience with alternative investment vehicles, such as separately-managed accounts (SMAs) and collective investment trusts (CITs), and established compliance and ethics programs related to family office practice.

 

  • Legal support for listing permanent capital vehicles (PCVs) and special purposes acquisition companies (SPACs) on behalf of alternative investment sponsors.

 

  • Legal support for creative liquidity and withdrawal structures, exit transactions (strategic sale, recapitalization), initial public offerings (IPOs) and private equity-style investments (minority and control).

 

  • Drafting and negotiation of investment advisory agreements, agreements for consulting, compensation and employment, contracts with operational and programmatic consultants and vendors, side letters and non-disclosure.

 

  • Drafted, negotiated and managed various academic, construction, life sciences, pharmaceutical and religious grants and collaborative agreements with funders and sponsors, tailored to the specific requirements and location of each project, and interacted with principals and legal teams of the funders and sponsors.
