  • Drafted and negotiated contracts and agreements related to employment and labor such as at-will employment agreements, collective bargaining agreements, confidentiality agreements, consultant agreements, ex-patriot agreements, fixed-term appointment letters, non-disclosure agreements, non-compete agreements, executive compensation, open-ended employment letters and project labor agreements.

 

  • Drafted and negotiated corporate policies and provided training regarding compliance, ethics, affirmative action, sexual harassment, substance abuse, employee relations, peer review and discrimination.

 

  • Drafted and negotiated employment-related provisions in employment and commercial contracts.

 

  • Drafted and negotiated employment law and investigative training procedures to ensure proactive and ongoing compliance with all applicable laws and regulations for employees, and agreements with third-party providers.

 

  • Drafted and negotiated individual and collective employment agreements.

 

  • Drafted and negotiated various agreements including confidentiality, non-disclosure, informed consent, clinical trial (CTA), clinical research outsourcing, clinical laboratory, cooperative research and development agreement (CRADA), distribution, investigator-initiated trial (IIT), master service (MSA), service provider, healthcare provider (HCP), data management, consultant, medical writing services, pharmacy, rebate, vendor services, wholesale, Phase I through Phase IV clinical studies, new drug application (NDA) and abbreviated new drug application (ANDA).

 

  • Drafted and negotiated payer contracts, including reimbursement rates, including proposed fee schedules of current procedural terminology (CPT) codes and prices, filing deadlines, payment deadlines, dispute resolution procedures, notice requirements for renegotiation and termination, term, nature and scope of covered services, conversion of services values into relative value units (RVUs) using Medicare and Medicaid rates.

 

  • Drafted and negotiated contracts for clinical, environmental, support and financial services, participating provider agreements (PPAs), (with a carrier or network of a carrier, panel, intermediary or representative), physician and other agreements related to the provision of healthcare services.

 

  • Drafted position statements on behalf of the enterprise to administrative agencies, the DOL, the EEOC, and state human rights organizations.

 

  • Extensive use of data analytics to monitor HR, labor and employment trends and to update and relate contractual provisions and corporate policies to such trends more effectively.

 

  • Authored new, and reviewed and revised existing, protocols, procedures and corporate policies governing records management and records retention relating to human resources, labor and employment.

 

  • Advised key personnel to identify potential legal risks regarding employee relations, hiring, compensation, discipline, performance, union practices, planned reductions in force (RIFs) and termination issues.

 

  • Conducted training for clients on a variety of labor and employment related topics.

 

  • Provided continuing training of field-based HR professionals with respect to labor relations.
