  • Consultation acting as an outside General Counsel for all corporate real estate matters and all other relevant legal issues, such as compliance, corporate governance (including SEC filings), cybersecurity, due diligence, financing, information technology (IT), intellectual property (IP), employment matters, environmental situations, healthcare issues, leases and related documents (such as assignments, buildouts, commercial, ground, industrial, kiosk, maritime, medical office, net, office, renewals, residential, restaurant, retail, sale-leaseback, shopping center, strip mall, sublease, surrenders, terminations, triple net, warehouse), litigation, negotiations (with accountants, auditors, competitors, consultants, customers, investors, government officials, landlords, media representatives, regulatory agencies, tenants, vendors), real estate (including purchases and sales), risk management.

 

  • Typical real estate corporate-related tasks, such as advice for startups through the full business cycle from formation to angel or venture financing to private or public offerings of securities including digital securities, choosing and implementing the appropriate holding and operating structures, compliance, contract drafting and negotiation (such as incentive and executive compensation agreements, non-compete, product commercialization and professional services agreements, software development, technology and license agreements, trade secret and non-disclosure agreements, vendor and services agreements) identifying, structuring and closing all stages of funding (such as term sheets, agreements, offering documents, regulatory filings), legal support of strategic deals (such as mergers, acquisitions, joint ventures and spin-offs), monitoring of intellectual property, including trademarks, copyrights, and trade secrets.

 

  • Full legal support for the purchase or sale of real estate, such as apartment buildings, brownstones, condominiums, cooperatives (co-ops), industrial properties, mixed-use, office buildings, shopping centers, townhouses, warehouses.

 

  • Typical services through the entire life of the real estate transaction, from initial negotiations through closing, such as assisting clients in conducting due-diligence review of properties and projects prior to purchase or sale, assisting clients in obtaining financing for the transaction, drafting and negotiating all transaction documents (such as amendments, ancillary documents, closing documents, contracts for purchase and sale, financing documents, purchase offers, title searches and examinations and resolving any title problems), assisting tax subject matter experts (SMEs) to structure real estate holding entities favorable to domestic and foreign clients and to structure real estate transactions to minimize tax exposure, including the use of 1031-exchanges.

 

  • Negotiation and drafting of all forms of real estate leases and related documents, such as assignments, buildouts, commercial, ground, industrial, kiosk, maritime, medical office, net, office, renewals, residential, restaurant, retail, sale-leaseback, shopping center, strip mall, sublease, surrenders, terminations, triple net, warehouse.

 

  • Related experience mitigating a contractor’s bankruptcy during a project, including negotiations relating to the assumption and completion of the bonded obligations, pre-petition and post-petition negotiations of reorganization plans, resolution of unpaid bond proceeds.

 

  • Evaluation and resolution of surety-related matters from the claims stage through mediation and arbitration.
