  • Drafted, negotiated and administered in-process marketing and corporate affairs agreements.

  • Service-level agreement (SLA) preparation and ongoing negotiation of multi-year agreements to include SLA tracking, savings analysis, vendor contract performance and renewal.

 

  • Drafted, negotiated and administered the three basic types of SLAs: customer-based (applicable to a particular customer group, covering all the services they may use during the term of the agreement), service-based (applicable to all customers using the particular services provided by the service provider), and multi-level (hierarchical) (an SLA divided into different levels, in which each level addresses different sets of customers for the same services).

 

  • Acted as SME for the Request for Information (RFI), Request for Proposals (RFP) and Request for Qualifications (RFQ) processes as they related to initiatives which meet various contract criteria, bid preparation and responses, vendor contracts package development, procurement strategy, contract execution.

 

  • Managed the vendor center of excellence (VCE) group, and designed and implemented a legal toolkit, playbooks (with alternate negotiating positions keyed to various template clauses), manuals, presentations, training materials.

 

  • Drafted, negotiated and administered the marketing master services agreement (MSA), the marketing contracts package and acted as SME for general marketing and promotions subject matter.

 

  • Point of escalation for all department questions the VCE legal toolkit, contracting questions, legal partnership, SLA development, redlines, proper vendor interaction, contracting best practices, business partnership and operational processes and assistance relating to contracts.

 

  • Responsible for optimizing the MSA template with updates and evaluated current contracts for compliance.

 

  • Created and maintained the department contracting database and all associated communication deliverables.

 

  • Negotiation and interface with vendor contracting representatives, procurement or other relevant business units and consulted on other relevant negotiations for contracts which did not meet the criteria outlined corporate policies.

  • Substantive analysis of active marketing and corporate affairs agreements in order to maximize savings and risk avoidance and reported to management on potential actions to maximize the budget or optimize contracts.

  • Provided training for staff and management regarding the contracting process, compliance, risk, and other related areas, to ensure that all business partners followed the correct processes regarding MSAs, SLAs, and other contracts.
